By using the Contractiva.com web site, a service provided and managed by Contractiva Limited, you are agreeing to be bound by the following terms and conditions. Contractiva Limited reserves the right to update and change these terms and conditions without notice, though will endevour to update you with any significant change to this agreement.
You can review the most current version of these terms and conditions at any time and it is your responsibility to keep updated with the latest version of this document.
Violation of any of the terms within this document will result in the termination of your account. You agree to use the Contractiva service at your own risk.
Account and Service Terms
- You are responsible for all content posted and activity within your account.
- You must provide your full name, a valid email address, and the required registration information in order to register an account with Contractiva. Your login is restricted to use by the person registering the account and whose name is registered on the account. Shared logins are not permitted and violate the terms of use of this software.
- You are responsible for maintaining the security of your account and password. Contractiva Limited cannot be held liable for any loss or damage resulting from your failure to adequately protect your account login details.
- You may not use Contractiva for any illegal or unauthorized purpose. You may not use Contractiva to violate any laws in your jurisdiction.
- Contractiva users who access their account via a third party provider, such as through an API, are bound by this agreement and you agree that Contractiva Limited cannot be held liable for any damages resulting from your use of any API or third-party product. Further, Contractiva Limited reserves the right at any time to modify or discontinue access to any API without notice.
Payments, Refunds and Termination
- By signing up for a paid business account with Contractiva, you agree to paid the agreed setup and monthly maintenance fees on your account, billed either monthly or quarterly in advance as agreed when creating your account. The Contractiva service is billed in advance on a monthly basis and is non-refundable. We do not provide refunds or credits for partial months of service in the event of your discontinuing your service.
- All invoiced fees are inclusive of VAT, levied at the standard VAT rate as defined by the United Kingdom tax authorities.
- Terminating your service will cause the removal of your content from our servers. Contractiva Limited does not accept any liability for this loss of data. If you wish to receive a copy of your data, please discuss and arrange this with us prior to terminating your account. It is your responsibility to ensure you are satisfied with the data received before terminating your account.
Content Ownership
- As the account holder, you maintain the intellectual property rights to all content in your account. This includes all data created within your account and all uploaded documentation in the file system.
- Contractiva Limited reserves the right to remove any content and accounts containing content that we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, obscene or otherwise objectionable or violates any party’s intellectual property or this agreement.
General Conditions
- The use of Contractiva is at your own risk on an “as is” and “as available” basis.
- Technical support provided to paying account holders and is available via email, internet and telephone.
- Contractiva Limited uses third party vendors and hosting partners to provide hardware, software, networking, storage, and related technology required to run the Contractiva service. We cannot be held responsible for any damage resulting from actions caused by a vendor or third party.
- You may not falsely imply an association to Contractiva where such an association does not exist and where permission has not explicitly been granted.
- You agree not to reproduce, duplicate, copy, sell, resell or exploit any portion of the Contractiva service.
- Verbal, physical, written or other abuse of any Contractiva customer, employee, member, or officer will result in immediate account termination.
Proper Law and Jurisdiction
These Terms and Conditions and all matters arising from it and any dispute resolution process referred to below shall be governed by and construed according to the laws of England and Wales and all disputes in relation thereto shall be subject to the non-exclusive jurisdiction of the Courts of England and Wales.
